TelePrompter Application - Terms of Service

Welcome to TelePrompter! These Terms and Conditions ("Terms") govern your use of the TelePrompter web and mobile applications ("App"), including our iOS app, and any related services provided by TelePrompter ("we", "us", or "our"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

Acceptance of Terms

By downloading, installing, accessing, or using the TelePrompter App (including the web version and iOS app), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the App on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by updating the "Last Updated" date at the top of this page and providing in-app notifications for significant changes.

Use of the App

2.1 License Grant

We grant you a personal, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes, subject to these Terms. You may also use the App for professional broadcasting, presentations, and teleprompter reading in professional settings.

2.2 User Responsibilities

You agree to:

• Use the App only for lawful purposes and in accordance with these Terms
• Ensure that any content you input using the App complies with applicable laws and regulations
• Respect the intellectual property rights of others when using the App
• Not use the App to create, upload, or process content that is illegal, harmful, defamatory, or offensive
• Not attempt to reverse engineer, decompile, disassemble, or otherwise modify the App
• Not use the App in any manner that could damage, disable, or impair the App or its services
• Not use the App for commercial purposes without our written permission

Features and Functionality

Core Features:

• Text Editing: Create and edit teleprompter scripts
• Speed Control: Adjust scrolling speed for comfortable reading
• Font Customization: Adjust font size, color, and background
• Remote Control: Control the teleprompter from another device
• Local Storage: Save scripts locally on your device
• Cloud Sync (Optional): Synchronize scripts across devices

Understanding App Capabilities:

You understand and acknowledge that:

• The App functions as a digital teleprompter and remote control system
• Performance may vary based on device hardware and network conditions
• The quality of experience depends on your device's specifications and internet connectivity
• Remote control features require reliable network connectivity between devices
• Cloud synchronization may have slight delays depending on network speed

Content and Intellectual Property

The App, including all content, features, functionality, code, and design, is owned by TelePrompter and is protected by international copyright, trademark, and other intellectual property laws.

What You Own:

• Scripts and text content you create and input into the App
• Content you save locally on your device
• Any customizations or preferences you set in the App

What We Own:

• The App, its source code, and compiled versions
• Our brand, logo, and trademarks (TelePrompter)
• All software, algorithms, and technology powering the App
• The overall look, feel, and user experience design

License to Your Content:

By using the App, you grant us the right to:

• Use your content as necessary to provide the App's functionality
• Process and store your content in accordance with our Privacy Policy
• Use anonymized, aggregated data about your usage patterns for improvement
• We do not claim ownership of your scripts or content

Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

We do not warrant that:

• The App will be uninterrupted or error-free
• The App will be completely secure or free from unauthorized access
• Any defects will be corrected or that services will be improved
• Remote control features will work perfectly in all network conditions
• Cloud synchronization will be instantaneous

Your use of the App is at your sole risk.

Limitation of Liability

To the maximum extent permitted by applicable law, TelePrompter shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data, content, or scripts
• Loss of profits, revenue, or business opportunity
• Business interruption or downtime
• Personal injury or property damage
• Failed presentations or broadcasting disruptions
• Any other commercial damages or losses

Our total liability for any claim arising out of or relating to these Terms or the App shall not exceed the amount you paid (if any) to use the App in the last 12 months, or $100 USD, whichever is greater.

Indemnification

You agree to indemnify and hold harmless TelePrompter and its owners, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the App in violation of these Terms
• Your content or scripts and how you use them
• Your violation of any applicable law or regulation
• Your infringement of any third-party intellectual property rights

Third-Party Services

The App may use or integrate with third-party services, including but not limited to cloud hosting, analytics, and app distribution platforms. We are not responsible for the actions or policies of third-party service providers. Please review their terms and privacy policies as they may have different terms than ours.

Termination

We may terminate or suspend your access to the App at any time, with or without cause, with or without notice, effective immediately.

Upon termination:

• Your right to use the App will immediately cease
• Any data stored on our servers may be deleted after 30 days
• You may export and save your local content before termination
• Sections that by their nature should survive termination shall survive

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree that any legal action or proceeding relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TelePrompter regarding the use of the App, superseding any prior agreements, negotiations, or understandings between you and TelePrompter relating to the App.
